
BY-LAWS
I. The name of the organization shall be Friends of Glacier Bay.
II. PURPOSES
The purposes of Friends of Glacier Bay are to:
A. Serve as a forum for discussion, education and action on issues affecting Glacier Bay National Park and Preserve.
B. Provide an organized means by which individuals' experience and knowledge of the Park can be retained as an influence on the management and management philosophy of the Park.
C. Work with the National Park Service to ensure that Park management strives to maintain the natural environment in a pristine condition.
III. MEMBERSHIP
A. Membership in the FOGB shall be open to all with an interest in and concern for Glacier Bay National Park who agree with the goals of this organization. These goals are to ensure:
1. that defining and maintaining appropriate levels of ecological intactness and the opportunity for solitude are prime objectives of park management;
2. that human use is kept compatible with these objectives; and
3. that park management is guided by an expanding awareness of natural systems and human interaction with them.
B. Members with full voting rights shall be those who pay annual dues to the organization, at levels set by the Board of Directors.
IV. BOARD OF DIRECTORS
A. Members of the Board of Directors shall be elected at the annual meeting.
B. The Board shall consist of five people elected from the membership with vacancies filled by vote of the Board. At the initial vote, three terms will be for two years, two terms for one year; thereafter, all terms shall be for two years.
1. Officers will be designated by vote of the Board at the annual meeting or the first executive meeting after the election. A chairperson, secretary and treasurer shall be chosen from among the Board members.
2. Three Board members present shall constitute a quorum for Board meetings. Absent members may vote at board meetings by a letter to the secretary.
V. MEETINGS
General meetings shall be held annually and the full membership shall be invited to attend. Will be open to all interested persons.
1. Notice shall be posted at Gustavus and the membership shall be notified by letter a minimum of 30 days prior to the general meeting.
2. A quorum shall be defined as being those members who attend the annual meeting.
VI. RESPONSIBILITIES OF THE BOARD
A. Announce, organize and conduct general meetings.
B. Keep informed and inform the membership on matters pertaining to National Park Service management policy and practice in the Park, on issues which may require the involvement of FOGB, and on broader issues which pertain to the Park.
C. Coordinate activities of FOGB committees, if any; provide policy guidance.
D. Prepare policy statements on management issues involving the Park.
Where the importance of the issues requires and time permits, the Board shall consult the membership at the annual meeting and a vote shall direct the actions of the Board.
E. Represent the interests of the FOGB at meetings involving Glacier Bay National Park.
F. Maintain the records of the organization.
G. Conduct the business of the organization between meetings.
H. Accept donations, fix dues and expend the funds of the organization.
I. Report on the Board's activities at each general meeting.
J. Maintain affiliation and communication with other organizations interested in issues relevant to Glacier Bay, and represent the membership in relations with other groups and individuals.
K. Seek advice from knowledgeable individuals where appropriate.
VII. PARLIAMENTARY PROCEDURE
The rules contained in Robert's Rules of Order, newly revised, shall govern the organization in all cases to which they are applicable and in which they are not inconsistent with the by-laws of the organization.
VIII. AMENDMENTS
A. The by-laws may be amended at any general meeting by 2/3 assenting vote of the members present, or by unanimous vote of the Board at a Board meeting.
B. For consideration at the general meeting, proposed amendments to the by-laws must be announced by letter at the time of notification of the meeting.
IX. STANDING RULES
Standing rules may be adopted as needed by majority vote at any general or Board meeting, provided a quorum exists.
X. DISSOLUTION
Should Friends of Glacier Bay cease to exist as a legal entity, all assets will be liquidated and the unencumbered portion thereof donated to a 501 (c) (3) organization with similar goals, selected by vote of the membership.
